Under the provisions of the City of Toronto Act (Bill 148 of the Legislative Assembly of the Province of Ontario) established in 1983 and later amended in 1997, the Board of Governors of Exhibition Place was formed for the purpose of operating and managing the grounds known as Exhibition Place.

As prescribed by the act, the Board of Governors reports directly to City of Toronto Council, and is comprised of thirteen members; eleven members appointed by City Council composed of three council members, five persons who may but are not required to be council members and three persons who are nominated by the Canadian National Exhibition Association; the Mayor of the City of Toronto; and, the President of the Canadian National Exhibition Association.

All meetings of the Board of Governors of Exhibition Place are held in the Fountain Dining Room, Queen Elizabeth Building, unless otherwise notified.

Special meetings of the Board, if required, will be at the call of the Chair.
