Toronto Transit Commission Board - Selection of Candidates for
Interviews
Reason for Confidential Information
This report deals with personal matters about identifiable individuals who are being considered for appointment to the Toronto Transit Commission (TTC) Board.
Summary
The Civic Appointments Committee must select candidates to interview for appointment to the TTC Board to fill one public member position. The Interview Subcommittee for the TTC will meet in the coming months to conduct the interviews and recommend a candidate for appointment to the Civic Appointments Committee.
Recommendations
The City Clerk recommends that:
1. The Civic Appointments Committee select six of the candidates listed in Table 1 of Confidential Attachment 1 to be interviewed at a meeting of the Interview Subcommittee for the Toronto Transit Commission to be scheduled in the coming months.
2. The Civic Appointments Committee direct that the confidential information contained in Confidential Attachments 1, 2, and 3 remain confidential in their entirety as they relate to personal matters about identifiable individuals being considered for appointment to the Toronto Transit Commission Board.

During its meeting on October 5, 6, and 7, 2016, City Council appointed one public member to the TTC Board to fill a vacancy:

Comments
Composition of the TTC Board
The TTC Board consists of 11 members, including seven Members of Council and four public members. Currently, the Board's Chair is Councillor Josh Colle and the Vice Chair is Alan M. Heisey, a public member.
Board members should meet certain Council-approved qualifications
In addition to the eligibility requirements outlined in the City of Toronto's Public Appointments Policy, public members of the Board shall have directorship and executive-level experience and collectively represent a range of skills, knowledge, and experience with one or more large organizations in the following areas:
· Capital project/construction management or capital procurement/supply chain management;
· Customer service or marketing management;
· Financial management, accounting, law, and engineering;
· Formulation and/or management of public-private partnerships;
· Labour relations/industrial safety management;
· Management or planning with a rail or public transit organization;
· Operations and information technology;
· Professional knowledge and working experience of urban sustainability, intersectionality, and inclusive governance;
· Strategic business management, including transformative change management; and/or
· Understanding and/or experience with TTC operations.
Applicants were asked to relate their experiences and backgrounds to the qualifications.
Individuals who are owners, employees, or agents of companies that are engaged in
business with the TTC, or could be reasonably expected to engage in procurement
opportunities with the TTC on transit-related projects, shall not be considered for
positions as public members.
There is currently one position under consideration
The Civic Appointments Committee must recommend a public member to fill one position on the Board which is currently held by a public member who was appointed on May 7, 2015 for a term of office ending on December 31, 2016, and until a successor is appointed.
Diversity data for the three remaining public members of the Board
Diversity data for the three remaining public members of the Board, collected through the Confidential Voluntary Diversity Information survey which accompanies each application, is attached as Confidential Attachment 2.
Board members receive remuneration
Public members receive a $450 per diem per Board meeting or training session, and an annual retainer ($10,000 for the Vice Chair and $5,000 for the three other public members).
Outreach was conducted for the current opportunities
The opportunities on the Board were part of the general public appointments awareness campaign in the fall of 2016 and the winter of 2017.
We canvassed the candidate pool and the public member with a term ending on December 31, 2016 for their interest in appointment
The Public Appointments Secretariat retains applications on file for three years from the date candidates apply. City Clerk's Office staff made best efforts to contact all candidates who had applied for the Board since October 2014, and confirmed if
they were still interested in being considered for appointment to ensure that the
Committee would only review applications from interested candidates.
In addition, Public Appointments Secretariat staff contacted the public member who was appointed on May 7, 2015 for a term of office ending on December 31, 2016, and until a successor is appointed, to confirm if they were interested in being considered for re-appointment (see Confidential Attachment 3 for the response).
We have consulted with TTC staff
Public Appointments Secretariat staff consulted with TTC staff in November 2016 and March 2017 to discuss Board qualifications and the appointments process. They provided the following information for the Committee's consideration:
· The TTC is in the final year of its five-year strategic plan and is in the process of preparing for the next five-year period. In this context, candidates with experience in business transformation, strategic business management, and change management are particularly desirable.
· Currently, there is a specific need for a candidate with demonstrated experience in the financial management and financial administration sector.
· Past governance experience with a large board of directors in the public sector is an asset. The TTC Board has three formal subcommittees and a number of working groups that require specialized skills in the areas of corporate auditing, risk management, large corporate budget development, and human resources/labour relations matters.
Next steps - Interviews
Once the Civic Appointments Committee selects candidates for interviews, the City Clerk's Office will contact the candidates to schedule them for 15 minute interviews, which will take approximately 90 minutes to complete.
