This report deals with personal matters about identifiable individuals who are being considered for appointment to the Toronto Hydro Corporation Board.

Summary

 

There is currently one vacancy on the Toronto Hydro Corporation Board. The Corporations Nominating Panel will interview candidates at its meeting on April 5, 2017, and recommend one public member to City Council to fill this vacancy.

Recommendations

 

The City Clerk recommends that:

 

1. The Corporations Nominating Panel recommend one candidate to City Council for appointment to the Toronto Hydro Board, at pleasure of Council, for a term of office ending on April 26, 2019, and until a successor is appointed.

 

2. City Council direct that the confidential information contained in Confidential Attachments 1, 2, 3 and 4 remain confidential in its entirety as it relates to personal matters about identifiable individuals being considered for appointment to the Toronto Hydro Board.

Financial IMPACT

 

There are no financial implications arising from this report.

 

 

Decision History

 

At its meeting held December 9 and 10, 2015, City Council appointed:

·       five public members for a term of office ending on December 10, 2017, and until successors are appointed;

·       two public members for a term of office ending December 10, 2016;

·       one public member for a term of office starting on December 11, 2016 and ending on December 10, 2017, and until a successor is appointed:

At its meeting held May 3, 4, and 5, 2016, City Council appointed one public member to fill a vacancy on the Toronto Hydro Corporation Board for a term of office ending December 10, 2017:

On February 9, 2017, the Corporations Nominating Panel selected seven candidates to be interviewed for appointment to the Toronto Hydro Board to fill the current vacancy which began on December 11, 2016:

Comments

 

Composition of the Toronto Hydro Corporation Board

The board has a total of 11 members including:

 

·       the Mayor or the Mayor’s designate appointed by City Council

·       2 members of Council

·       8 public members, one of whom shall be the Chair.

 

There is currently one position under consideration

The Corporations Nominating Panel must recommend one public member to fill a current vacancy on the Board. This position became vacant on December 11, 2016, following the completion of the terms of two members who were appointed in December 10, 2015 for a term of office ending December 10, 2016. One of these two positions was filled at Council's December 9 and 10, 2015 meeting with an appointment date effective December 11, 2016.

 

The term of office for public members is two years

As per the Toronto Hydro Corporation Shareholder Direction, the term of office for public appointees to the Toronto Hydro Board is two years. Members serve until their successors are appointed.

 

Committee members must be eligible and meet certain qualifications

In addition to the general eligibility requirements set out in the Public Appointments Policy, public members should collectively bring the following skills and expertise to the Board:

 

·       experience on a public utility commission or board of a major corporation or other commercial enterprise

·       corporate finance

·       corporate governance

·       market development

·       large system operation and management

·       urban energy industries

·       public policy issues and laws relating to Toronto Hydro and the electricity market

·       environmental matters, labour relations, and occupational health and safety issues

·       commercial sensitivity and acumen

·       independence of judgement and personal integrity

·       financial management expertise

 

Diversity data for the current public members of the Committee

Diversity data on the seven current Board members, collected through the Confidential Voluntary Diversity Information Survey which accompanies each application, is attached as Confidential Attachment 2.

 

Achieving gender equity on City Corporate Boards by 2020

On November 8 and 9, 2016, City Council adopted Item EX18.5, Supporting Gender Diversity in Public Appointments that set a goal of gender equality in appointments to the City's Corporate Boards by 2020. 

 

The panel should take this into consideration when selecting candidates for the current Toronto Hydro Corporation Board.

 

Public release of name of recommended candidate

The name of the recommended candidate will be publicly reported once the Corporations Nominating Panel forwards its recommendation to City Council.
