Hummingbird Centre for the Performing Arts, Board of Directors

Bill 148: Members of the Board on December 31 remain in office until Council appoints new members.

 

The current Board has recommended to the new Council that those Members currently representing Metro, who were not elected to the new Council, continue as citizen representatives until such time as the Provincial legislation is enacted to allow for the implementation of the new governance structure proposed in the Business Plan of the Centre which was approved by Metro Council on April 24, 1996.

 

 

 

(Recommendation No. 87)

 

The Board should consist of 12 members composed of:

- 1 person appointed by the National Ballet of Canada, and- 1 person appointed by the Canadian Opera Company, each for a term of 3 years, so long as these organizations continue to be in residence in the Centre, failing which these appointments would revert to the jurisdiction of Council; and

- 10 members appointed by Council, 3 of whom should be citizens.

 

Immediate requirements: Council appointments required.

 

There are currently 6 political appointees on the existing Board.

 

Council should consider the request of the Hummingbird Centre Board that those Members currently representing Metro, who were not elected to the new Council, continue as citizen representatives until such time as the Provincial legislation is enacted to allow for the implementation of the new governance structure proposed in the Business Plan of the Centre.

North York Performing Arts Centre Corporation (Ford Centre)

Bill 148: The Performing Arts Centre is continued by section 92 of Bill 148.

 

Members of the Board on December 31 remain in office until Council appoints new members.

 

The composition of the Board, established under section 6 of the City of North York Act, 1988, consists of:

- the Mayor;

- 11 other members appointed by Council, 3 of whom are members of Council and 8 of whom are citizens.

St. Lawrence Centre for the Arts

Bill 148: The St. Lawrence Centre for the Arts is continued by section 92 of Bill 148.

 

Composition set in municipal by law.

 

Membership on the Centre's Board includes 2 Members of Council and 14 citizen members.

 

 

 

 

(Recommendation No. 89)

 

Council should enact a by-law to allow new Council Members to be appointed to the Board to replace current political members.

 

The Interim Board should develop, in conjunction with the City's Nominating Committee, a proposed nomination process for selection of citizen members from the business and arts communities.

 

Immediate requirements: Council appointments required.

 

 

Based on Transition Team recommendations, Council needs to:

 

- enact a by-law to allow new Council Members to be appointed to the Board to replace current political members; and

Exhibition Place, Board of Governors

Bill 148: Members of the Board on December 31 remain in office until Council appoints new members.

 

Section 61(4) of the Bill provides that the new 13-member Board is to be composed of:

- the Mayor;

- 3 Members of Council;

- 5 persons who may or may not be Members of Council;

- 3 persons nominated by the CNEA;

- the President of the CNEA.

 

(On October 8 and 9, 1997, Metro Council endorsed the integration of Exhibition Place and Ontario Place under the terms of an "Ontario Exhibition Place Integration Strategy", subject to a commitment by the Province of Ontario to fund the transition costs of such integration.

 

Metro Council's endorsement was also subject to Council approval of the draft legislation required to give effect to the integration, and development of a human resources transition plan.)

 

(Recommendation No. 90)

 

Subject to any necessary legislative amendments, Council should appoint new members to replace the current political members on the Board.

Board of Directors

Metro Council authorized the Board to apply for the incorporation of the Community Development Corporation.

 

The Board consists of 4 Directors:

- the Metro Chairman;

- Chair of the Board of Governors of Exhibition Place;

- 1 Councillor recommended by the Corporate Administration Committee; and

- 1 Member of Council who may or may not be a member of the Exhibition Place Board.

 

(Recommendation 91)

 

A review should be undertaken to determine whether Tradelink Community Development Corporation should continue as a board, and if so, its future role, mandate and composition, or whether it should be integrated into the City's Economic Development Office.

 

Council should appoint new members to replace the current political members on the Board.

Toronto Economic Development Corporation (TEDCO)

Bill 148: TEDCO is continued under the general provisions of the Bill.

 

TEDCO is a self-financing corporation owned by the current City of Toronto.

 

There are no legislative provisions governing membership, which currently consists of:

- President and CEO of TEDCO;

- 8 Directors; and

- Mayor of Toronto or designate.

 

TEDCO has requested the appointment of the Mayor (or designate) and 1 Member of Council.

 

As of mid-December, TEDCO had not requested a Council appointee to the Toronto Business Development Centre.

 

However, a communication dated November 28, 1997, has since been received requesting confirmation of appointments to the Toronto Business Development Centre for a term of one year or until their successors are appointed, which appointments include M. Silva.

 

(Recommendation No. 92)

 

A review should be undertaken to determine TEDCO's future role, mandate and composition.

 

A key focus of this review should be on ways and means to build on TEDCO's expertise in the redevelopment of "brownfield" sites throughout the new City.

 

 

 

 

Immediate requirements: Council appointments required.

 

 

 

 

 

Based on Transition Team recommendations, a review should be undertaken as outlined in Recommendation No. 92.

Bill 148: Creates one new Toronto Parking Authority.

 

Members of the existing Parking Authorities on December 31 continue as Members of the new Authority until Council appoints new Members.

North York:

- 3 citizens

- Commissioner of Transportation (General Manager of Parking Authority)

- Assistant GM of the Authority

 

Toronto:

- 5 citizens.

 

 

(Recommendation No. 93)

 

Council should enact a by-law establishing a Toronto Parking Authority comprising 5 citizens and 2 Councillors with the Chair to be elected by the Members.

 

At least 1 of the Councillors appointed should also be a member of the Urban Environment and Development Committee.

 

The City's senior transportation administrator should have a non-voting seat on the Authority.

Immediate requirements: Council appointments required.

 

 

 

Based on Transition Team recommendations, Council needs to:

 

- decide on the composition of a Toronto Parking Authority; and

 

- enact a by-law establishing the Toronto Parking Authority

The Guild, Board of Management

(Not Active)

Bill 148: Continues existing composition of 15 members appointed by Council, 7 of whom are nominated by the Province.

 

The Board is currently inactive and Metro Council has requested dissolution of the Board.

 

(Recommendation No. 95)

 

Pending Council determining the future use of the Guild, the Province should be requested to dissolve the Board of the Guild, and management of this asset should be undertaken by the Parks and Recreation Department of the City.

 

In the interim, no appointments should be made to the Board, and City staff should continue to manage this facility.

 

Immediate requirements: Council must determine whether it wishes to replace the political appointees on the Board, which is currently inactive.

 

 

 

Based on Transition Team recommendations, Council needs to:

 

- determine the future use of the Guild,

 

- request the Province to dissolve the Board of the Guild, pending Council determining such future use; and

 

- refrain from making appointments to the Board, and authorize City staff to continue to manage this facility.
