Enwave Energy Corporation |
Enwave is an energy company that operates one of the largest district energy systems in North America, providing environmentally sustainable heating and cooling to more than 140 commercial, institutional and multi-residential buildings.
Enwave is a partnered corporation. It was reconstituted in December 1999 as a share capital corporation under the Ontario Business Corporations Act. Both the City of Toronto and BPC Penco Corporation (a subsidiary of OMERS) are shareholders.
Enwave is also governed by the Toronto District Heating Corporation Act.
Board responsibilities
The board of directors is responsible for supervising the business and affairs of the Corporation in accordance with the provisions of a Shareholders' Agreement, the Ontario Business Corporations Act, and sound business management practices.
Enwave has moved into a period of significant growth, and a key focus for the members of the board is to help the business expand.
Term of office
Three years.
Composition
The board consists of:
- 6 members (3 nominated by each of the City of Toronto and BPC Penco) and current representation reflects the balance of share ownership
- the City's 3 representatives consist of the Mayor or a member of Council as the Mayor's designate and 2 citizens
- the Chair of the board of directors is one of the City's citizen appointees so long as the City owns at least 35 percent of Enwave's shares. The Mayor, or the member of Council as the Mayor's designate on the board, cannot be appointed Chair
Meetings
Approximately 4 to 6 times, annually. Enwave directors are also involved in sales and business meetings beyond the regular board meetings.
